Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Occasio Technologies Inc. ("Occasio", "we", "us", "our"), governing your access to and use of the Occasio platform, website located at occasio.ca, and all related services (collectively, the "Platform"). These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Eligibility
To use the Occasio Platform you must:
- Be at least 13 years of age. If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
- Be a current or prospective post-secondary student, or an individual otherwise eligible for the scholarship and funding opportunities listed on the Platform.
- Have the legal capacity to enter into a binding contract under the laws of your province or territory of residence.
- Not be prohibited from receiving services under the laws of Canada or any applicable jurisdiction.
By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify eligibility and to suspend or terminate accounts that do not meet these criteria.
2. Account Registration
To access most features of the Platform, you must create an account by providing accurate, complete, and current information, including your name, email address, and a password. You agree to:
- Keep your account credentials confidential and not share your password with any third party.
- Notify us immediately at legal@occasio.ca if you suspect unauthorized access to your account.
- Maintain the accuracy of your profile information and update it promptly if it changes.
- Be responsible for all activity that occurs under your account, whether or not authorized by you.
You may not create an account on behalf of another person without their explicit consent, or create multiple accounts for the same individual. We reserve the right to refuse registration or cancel accounts at our sole discretion.
3. Description of Services
Occasio provides an AI-assisted platform that helps Canadian post-secondary students discover and track scholarship and funding opportunities. Our current services include:
- Profile creation: Build a student profile used to determine eligibility for various opportunities.
- Opportunity matching: Receive a curated list of scholarships and funding opportunities matched to your profile.
- Application tracking: Track the status of opportunities you are pursuing within your dashboard.
The Platform is provided "as is" and in its current early-access (beta) phase. Features, availability, and matching accuracy may change. We make no guarantee that any particular opportunity will remain available, that you will receive a match, or that any application you submit through a third-party scholarship provider will be successful.
Occasio is a discovery and tracking tool only. We are not a scholarship provider, financial institution, or educational institution. We do not adjudicate awards, make funding decisions, or guarantee admission to any program.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You must not:
- Provide false, inaccurate, or misleading information in your profile or any communication with us.
- Use the Platform to commit fraud, impersonate any person, or misrepresent your eligibility for any scholarship or award.
- Attempt to gain unauthorized access to any portion of the Platform, our servers, or any connected systems.
- Use automated tools (bots, scrapers, crawlers) to extract data from the Platform without our prior written consent.
- Transmit any malicious code, viruses, or harmful data to or through the Platform.
- Use the Platform in any way that violates the Criminal Code of Canada, the Competition Act, CASL, PIPEDA, or any other applicable Canadian federal or provincial law.
- Harass, threaten, or abuse other users or Occasio personnel.
- Reproduce, redistribute, or commercially exploit any content from the Platform without our prior written permission.
Violation of this section may result in immediate suspension or termination of your account, and may be reported to appropriate law enforcement authorities.
5. Intellectual Property
All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, software code, the Occasio name, and the key logo — are the exclusive property of Occasio Technologies Inc. or its licensors and are protected by Canadian copyright law (Copyright Act, R.S.C. 1985, c. C-42), trademark law, and other applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use as a student seeking funding opportunities, subject to these Terms. This licence does not include any right to:
- Sublicence, sell, resell, or commercially exploit the Platform or its content.
- Copy, modify, or create derivative works based on the Platform.
- Use any data mining, robots, or similar data gathering tools.
- Download any portion of the Platform for purposes other than page caching.
6. User Content
You retain ownership of all personal information and profile data you submit to the Platform ("User Content"). By submitting User Content, you grant Occasio Technologies Inc. a limited, non-exclusive, royalty-free licence to use, store, and process your User Content for the sole purpose of providing and improving the Platform's matching services.
You represent and warrant that:
- You own or have the necessary rights to submit your User Content.
- Your User Content is accurate and truthful.
- Submission of your User Content does not violate any third-party rights or applicable law.
7. Third-Party Services and Links
The Platform may contain links to third-party scholarship providers, institutions, or external websites. These links are provided for your convenience only. Occasio does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website or service. You access third-party services at your own risk and should review their terms and privacy policies independently.
When you apply for a scholarship through a third-party provider, your application is subject entirely to that provider's own terms, eligibility criteria, and decisions. Occasio has no involvement in and accepts no liability for the outcome of any such application.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that:
- The Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
- The information on the Platform is complete, accurate, or current.
- Any opportunity listed on or matched through the Platform is currently available or that you are eligible for it.
- The use of the Platform will result in a successful scholarship application or award.
Nothing in these Terms excludes or limits Occasio's liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under the laws of Ontario or Canada.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT WILL OCCASIO TECHNOLOGIES INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or anticipated savings;
- Damages arising from your inability to access or use the Platform, or from any error or omission in Platform content;
- Damages arising from your reliance on any opportunity listed or matched on the Platform;
even if we have been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, statute, or otherwise).
Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Platform, regardless of the form of action, is limited to the greater of: (a) CAD $100.00; or (b) the total amount you paid to us in the twelve months preceding the claim (which is $0 for free-tier users).
10. Indemnification
You agree to defend, indemnify, and hold harmless Occasio Technologies Inc. and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any claim that your User Content caused damage to a third party.
11. Term and Termination
These Terms are effective from the date you first access the Platform and continue until terminated.
Termination by you: You may close your account and terminate these Terms at any time by contacting us at legal@occasio.ca or by using the account deletion feature in your dashboard.
Termination by us: We may suspend or terminate your account and access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We will use reasonable efforts to notify you via email where practicable.
Upon termination, your right to use the Platform immediately ceases. Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 13 (Governing Law) survive any termination of these Terms.
12. Dispute Resolution
Informal Resolution: Before initiating any formal legal proceeding, you agree to contact us at legal@occasio.ca and give us at least 30 days to attempt to resolve the dispute informally. This requirement does not apply where you seek emergency injunctive relief.
Mediation: If informal resolution is unsuccessful, the parties agree to attempt resolution through non-binding mediation administered by a mutually agreed mediator in Toronto, Ontario, before commencing litigation.
Litigation: If mediation fails, either party may pursue claims in the courts identified in Section 13.
Nothing in this section limits your right to file a complaint with a Canadian consumer protection authority or regulatory body.
13. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Each party irrevocably submits to the exclusive jurisdiction of the courts of competent jurisdiction located in Toronto, Ontario, Canada for the resolution of any dispute that cannot be resolved through the mechanisms in Section 12. You waive any objection to the laying of venue of any such proceeding in Toronto, Ontario.
If you are a consumer resident in a province with mandatory consumer protection legislation (including Quebec), nothing in these Terms limits any rights you may have under that legislation.
14. Amendments
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date above.
- Send an email notice to all registered users at the email address associated with their account, at least 30 days before the new Terms take effect.
- Where required by law (e.g., under Quebec consumer protection rules), obtain your affirmative consent.
Your continued use of the Platform after the effective date of the amended Terms constitutes acceptance. If you do not agree to the amended Terms, you must stop using the Platform and may close your account.
15. General Provisions
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Occasio regarding the Platform and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
- Language: The parties have agreed that these Terms and all related documents be drawn up in English. Les parties ont convenu que les présentes conditions et tous les documents connexes soient rédigés en anglais.
- Force Majeure: We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, pandemic, government action, or internet infrastructure failure.
- No Partnership: Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Occasio.
